Terms of Service

Please read these Terms of Service carefully before using BillingMate. They set out the rights and obligations of both parties.

1. Acceptance of terms

By creating a BillingMate account or using any part of the service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the service.

These Terms constitute a legally binding agreement between you (or your business entity) and BillingMate Pty Ltd (ABN 42 879 113 540), registered in Victoria, Australia.

2. The service

BillingMate provides online invoicing, quoting, and client management tools (“the Service”). The Service is provided “as is” for business use.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable for any such modification, suspension, or discontinuation.

Planned maintenance is scheduled outside business hours where possible. We aim for 99.5% uptime but do not guarantee it.

3. Your account

You must be at least 18 years old and provide accurate information when creating your account. You are responsible for maintaining the security of your login credentials.

You may not share your account with others. On multi-seat plans, each user must have their own account.

You are responsible for all activity that occurs under your account. Notify us immediately at security@billingmate.app if you believe your account has been compromised.

4. Acceptable use

You may use BillingMate only for lawful business purposes. You must not use the Service to: send fraudulent or misleading invoices; impersonate another business or individual; violate any applicable law or regulation; attempt to gain unauthorised access to any part of the Service or its infrastructure.

We reserve the right to suspend or terminate accounts that violate these terms, without refund.

5. Subscription and payment

Paid plans are billed monthly in Australian Dollars (AUD). Payment is processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.

If a payment fails, we will retry for up to 7 days before suspending your account. You retain access to your data during this period.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months except as required by Australian Consumer Law.

6. Your data

You own all data you enter into BillingMate. We do not claim ownership of your invoices, client records, or any other content.

You grant us a limited licence to store, process, and transmit your data solely to provide the Service.

We will not access your data except to provide technical support (with your permission), comply with a legal obligation, or diagnose a system issue.

Upon account deletion, your data is removed within 30 days. You may export all your data at any time before deletion.

7. Limitation of liability

To the maximum extent permitted by law, BillingMate is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue or lost data, arising from your use of the Service.

Our total liability to you for any claim arising out of or related to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under Australian Consumer Law.

8. Intellectual property

BillingMate, its logo, and the Service interface are owned by BillingMate Pty Ltd and protected by copyright and other intellectual property laws. You may not reproduce or distribute any part of the Service without our written permission.

9. Changes to these terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of Victoria, Australia. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Victoria.
